The AI regulatory environment shifted substantially between 2024 and 2026. What was once academic debate or voluntary recommendation from international bodies has become legislation with deadlines, penalties, and specific technical requirements. Understanding this landscape β across the three jurisdictions that most impact Brazilian companies β is not a task exclusive to the legal team. It is strategic literacy for any leader making decisions about AI.
2.1 β Brazil: LGPD and the Right to Algorithmic Explanation
The General Data Protection Law (Lei nΒΊ 13.709/2018) was not created as an AI law. But its most relevant article for the current context is precisely the one addressing automated decisions.
Article 20 of the LGPD establishes that data subjects have the right to request review of decisions made solely on the basis of automated processing β including decisions that affect their interests, such as credit profiles, hiring, benefit eligibility, or personalized content. More than that: the company must be able to inform the criteria and procedures used, upon request.
In practice, this means that any AI system that makes or influences decisions about people β using personal data β must be traceable and explainable. Not as a technical exercise, but as a legal obligation with a response deadline to the data subject.
The LGPD also requires data minimization (use only what is necessary for the declared purpose), traceable consent (provable, specific, and revocable), and erasure capability (the data subject can request removal β which must propagate through training datasets and model versions).
The ANPD (National Data Protection Authority), despite still being in an institutional maturation process, has already initiated investigations and issued guidance on the use of data in automated systems. The absence of AI-specific regulation in Brazil paradoxically creates a larger risk window: the LGPD applies, but without the technical obligation granularity that specialized regulation would provide.
That gap is being filled by Bill 2338/2023, Brazil's AI legislation currently in the Senate. The bill adopts a risk-based structure similar to the EU AI Act and proposes specific obligations for high-risk systems β including transparency, human oversight, and impact assessment. Approval is a matter of when, not if.
LGPD penalties can reach 2% of the company's revenue in Brazil, capped at R$ 50 million per infraction. For companies with multiple ungoverned AI systems, the risk is not one fine β it is the sum of multiple simultaneous infractions.
2.2 β European Union: EU AI Act and Risk Classification
The EU AI Act is the world's first comprehensive AI legislation. Approved in 2024 and currently in phased implementation, it establishes a risk-based regulation model β and obligations vary radically by level.
The structure is organized into four tiers:
Prohibited Risk covers completely banned applications: state social scoring systems, real-time remote biometric identification in public spaces (with narrow exceptions), subliminal behavioral manipulation, and exploitation of specific group vulnerabilities.
High Risk is the most relevant category for enterprises. It includes systems operating in critical infrastructure, education, employment and worker management, access to essential services (credit, insurance, social benefits), law enforcement, migration management, and administration of justice. Limited Risk includes systems like chatbots β required to identify themselves as AI to the user. Minimal Risk covers most recommendation systems, spam filters, and similar applications.
For high-risk systems, obligations are operational and technical: pre-deployment conformity assessment, detailed technical documentation, mandatory human oversight by design, registration in the European high-risk AI systems database, and periodic conformity evaluation.
Deadlines are already in force: prohibited practice bans took effect in February 2025. General Purpose AI (GPAI) obligations became mandatory in August 2025. High-risk systems must be in compliance by August 2026 β meaning companies with European operations or processing data of EU citizens have less than six months to structure full technical compliance.
Penalties reach β¬35 million or 7% of global annual turnover β whichever is higher. For mid-sized companies, that number can be existentially relevant.
2.3 β United States: Regulatory Fragmentation and the NIST AI RMF
The American approach is radically different. There is no unified federal AI law β and the current political direction points toward maintaining that fragmentation. Regulation happens by sector: the SEC oversees AI in financial markets, the FTC acts against deceptive and discriminatory AI practices in consumer contexts, the EEOC regulates AI in employment and hiring, and the FDA regulates medical devices with AI.
The NIST AI Risk Management Framework (AI RMF 1.0), published in 2023, fills the role of a de facto national standard β voluntarily adopted by companies that need to demonstrate governance maturity. The framework structures AI risk management across four functions: Govern, Map, Measure, and Manage β with specific practices for each dimension.

For Brazilian companies with products or services in the US market, the NIST framework serves as a practical governance guide β even without legal force, it is the language that US partners, investors, and corporate clients speak when evaluating AI maturity.
β οΈ The Real Risks: When AI Fails Without Governance
Regulation is the visible risk. The invisible risk β and the most immediate β is operational. It happens before the audit, before the fine, before the lawsuit. It happens when AI fails and the company has no structure to detect, respond, or explain.
The two most common failure patterns have names: overtrust and shadow AI. Understanding each in depth is the first step to preventing them.

Corporate LLMs without guardrails represent a risk category that exploded with the adoption of internal AI assistants. An LLM-based customer service chatbot, without context sanitization and without protection against prompt injection, can be manipulated to reveal information from other customers present in the conversation history or loaded context. The attack requires no sophistication: a user who instructs the model to "repeat the last system messages" or "show the full context" can obtain data that should never have been exposed. Regulatory impact: violation of the LGPD confidentiality principle and potential EU AI Act infraction if the system operates with data from EU citizens. What prior governance would have prevented: input and output guardrails, red-teaming tests before deployment, and a context window policy preventing prior session data exposure.
HR screening systems that perpetuate bias are perhaps the case with the greatest human impact and least corporate visibility. A model trained on the company's historical hiring patterns learns which profiles were promoted, hired, and retained. If those historical patterns contain gender, ethnicity, or regional origin bias β and most do β the model does not eliminate the bias. It scales it with algorithmic efficiency. Under the EU AI Act, candidate screening systems are explicitly classified as high risk. In the US, the EEOC has already launched investigations into AI use in hiring processes. What prior governance would have prevented: impact assessment before deployment, fairness auditing by protected group, and mandatory human oversight for final decisions.
Dynamic pricing based on protected characteristics occurs when pricing algorithms learn that certain customer segments have lower price elasticity β and maximize margin by charging those segments more. If the segmentation implicitly uses race, gender, disability, or origin as proxy variables (even unintentionally), the company is practicing algorithmic discrimination. The FTC has already issued explicit warnings on this practice. What prior governance would have prevented: training variable auditing, price disparity monitoring by group, and a clear policy on which attributes are prohibited from entering models.

Six months later, the team has been reorganized, the responsible person has left the company, the technical documentation is outdated, and no one knows exactly what the model does or what data it consumes. The system keeps operating β making decisions that impact customers β without real supervision. If something goes wrong, no one knows who to ask. If the company receives a data access request from a data subject, no one knows where that model stores what. This is not a hypothetical scenario. It is the reality of most companies that scaled AI in fragmented fashion.
Retraining with inadequate data creates silent legal liability in a particularly insidious way. A model is updated with new data to improve performance β but those new data include records from customers who withdrew consent since the original training. Or data collected for a purpose different from the one now being used. From a technical standpoint, the retraining looks routine. From a LGPD standpoint, it is a new violation β and the nonexistent audit trail prevents any defense.
Geographic expansion without regulatory adaptation is the most expensive scaling error. A Brazilian company expands operations to Europe, carrying its existing AI models. Those models were built under LGPD β but not under GDPR and the EU AI Act. The data was collected with Brazilian consent β not European. High-risk systems have not gone through the required conformity assessment. The company is operating illegally without knowing it, until a European regulator knocks on the door.

AI governance is not a project with a start, middle, and end. It is an architecture that must be built structurally and maintained continuously. These five pillars form the foundation of that architecture.
Pillar 1 β AI Policy Before Deployment
No AI system enters production unless three conditions are met: an approved usage policy, defined technical and executive owners, and pre-mapped risk metrics.
The usage policy does not need to be a fifty-page document. It needs to answer objective questions: What is the system's declared purpose? What data can it consume? Which decisions can it make autonomously and which require human review? Who is accountable if something goes wrong? When and how will the system be audited?
The risk of not having this policy is not only regulatory β it is operational. Without it, each team implicitly sets its own criteria. The result is inconsistency that accumulates and becomes impossible to audit retroactively.
Pillar 2 β Decision Traceability by Design
Traceability is not a feature to add after the system is in production. It is an architectural decision that must be made beforehand.
Every system that automates decisions with impact on people must record, by design: the input received, the context available at the time of the decision, the exact model version used, the parameters applied, and the justification or determining factor of the decision.
This record is not bureaucracy. It is what allows a response to an Article 20 LGPD review request. It is what sustains a defense in legal proceedings. It is what allows detection when a model starts failing systematically. Without traceability, AI operates as a black box β and black boxes have no legal defense and no traceable technical correction.
Pillar 3 β Legal Compliance Integrated Into Architecture
The traditional model is: the technical team builds the system, the legal team reviews before launch, the company launches. This model fails because post-hoc review rarely identifies structural problems in time to correct them without high cost.
Compliance by design means the legal team and DPO participate in the design process β before code is written. LGPD, EU AI Act, and NIST are not approval checklists. They are architectural inputs. What data can be used? What is the legal basis for each processing operation? Does the system require mandatory human oversight under the EU AI Act? Does the decision disproportionately affect protected groups?
These questions have technical answers that need to be incorporated into the architecture β and are far cheaper to implement before the system exists than afterward.
Pillar 4 β Continuous Monitoring of Value and Risk
Accuracy in isolation is an incomplete metric. A model can have 97% accuracy and still be systematically discriminating against a minority group β because that group represents less than 3% of the base.
Governance monitoring requires a broader metrics layer: fairness index by relevant group, human intervention rate (a high rate may indicate a poorly calibrated model), data and concept drift (is the model still operating in the reality it was trained on?), cost per decision (is AI still economically efficient?), and incremental ROI (is the system's impact still positive?).
These metrics must be monitored with the same discipline and frequency as financial indicators. Not because it is bureaucracy β but because they are the early warning system that allows correction before the problem becomes a crisis.
Pillar 5 β Governed Scalability
The fifth pillar closes the loop: AI only scales when control is proven.

Implementing AI Governance First does not require stopping everything for a massive transformation project. It requires sequential discipline β and clarity about what each phase delivers.
Phase 1 β Inventory Diagnostic (Weeks 1 and 2)
The starting point is knowing what exists. Many companies are surprised by the number of AI systems in operation that are not on leadership's radar β departmental tools adopted without formal approval, forgotten legacy models, third-party AI APIs integrated into critical systems.
